Educational Qualification: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Key Responsibilities:
- Corporate Compliance:
- Ensure adherence to provisions under the Companies Act, 2013 and associated rules.
- Draft and file necessary forms, returns, and documents with the Registrar of Companies (RoC).
- Maintain and update statutory registers, records, and books as per legal requirements.
- Conduct due diligence for corporate actions such as mergers, acquisitions, and restructuring.
- Coordinate and organize Board Meetings, Committee Meetings, and General Meetings, including drafting agendas, notices, and minutes.
- FEMA Compliance:
- Ensure compliance with Foreign Exchange Management Act (FEMA) regulations concerning foreign investments, external commercial borrowings, and cross-border transactions.
- Liaise with the Reserve Bank of India (RBI) for approvals, filings, and clarifications related to FEMA.
- Regulatory Affairs:
- Act as a liaison with regulatory bodies such as SEBI, RBI, MCA, DPIIT and other statutory authorities.
- Manage regulatory inspections, audits, and related documentation.
- Assist in drafting and implementing policies and procedures in alignment with regulatory requirements.
- Policy Development:
- Contribute to drafting, updating, and implementing company policies in compliance with legal and regulatory frameworks.
- Review and recommend changes to internal policies and practices to ensure they align with legal obligations and industry standards.
- Legal Documentation & Advisory:
- Assist in the preparation, review, and negotiation of contracts, agreements, and legal documentation.
- Provide advisory on legal matters, risk mitigation, and regulatory frameworks affecting business operations.
- Stakeholder Management:
- Interact with internal stakeholders for compliance, governance, and legal support.
- Engage with external consultants, auditors, and legal advisors for expert guidance and support.
